Tradyon Terms of Service

These Terms of Service ("Terms") govern your access to and use of Tradyon's AI-powered platform for international commodity trading, including our websites, applications, and services (collectively, the "Services"). By using the Services, you agree to these Terms.
Eligibility and Account
You must be at least 18 years old, represent a legitimate business entity engaged in lawful commodity trading, and have authority to bind your organization. You are responsible for maintaining account security and all activities under your account. Provide accurate business information and notify us immediately of any unauthorized access.
Permitted Use and Restrictions
Permitted
Use the Services for legitimate international commodity trading activities, including counterparty discovery, market analysis, trade documentation, and workflow management.
Prohibited
- • Illegal activities, fraud, market manipulation, or anti-competitive practices
- • Violating export controls, sanctions, embargoes, or trade regulations
- • Uploading malware, spam, or infringing content
- • Reverse-engineering, scraping, or building competitive products
- • Misusing AI features or attempting to extract our models
- • Processing personal data in violation of GDPR, DPDP Act 2023, CCPA, or other data protection laws
- • Sharing access, credentials, or reselling Services without authorization
International Trade Compliance
You are solely responsible for:
- • Complying with all export controls, sanctions (OFAC, UN, EU), and trade regulations
- • Conducting KYC/due diligence on counterparties—our risk flags are assistive only
- • Obtaining necessary licenses, permits, and authorizations for your trading activities
- • Accurate customs declarations, HS codes, and payment of duties/taxes
- • AML/CTF compliance and reporting suspicious activities
- • Verifying that transactions do not involve sanctioned parties or prohibited goods
We do not provide customs brokerage, trade facilitation, or compliance services. You acknowledge that trading involves risks and we are not liable for transaction failures or regulatory violations.
Customer Content and Data
Your Ownership:
You retain all rights to data you upload (contacts, catalogs, documents, prompts, etc.).
License to Us:
You grant us a license to process your data solely to provide Services, generate AI outputs, and ensure security.
Your Responsibilities:
You warrant you have rights to upload all content, comply with data protection laws, and obtain necessary consents for personal data.
No Training:
We do not use your data to train third-party AI models unless you explicitly opt-in. Aggregated, anonymized usage data may be used for product improvement.
International Transfers:
Your data may be processed across borders with appropriate safeguards (SCCs for EU/UK, compliance with DPDP Act 2023).
AI Outputs and Disclaimers
AI-generated recommendations, match scores, market insights, and risk flags are assistive tools only—not professional advice. You must independently verify all outputs before relying on them.
We do not guarantee:
- • Accuracy, completeness, or timeliness of AI outputs or data
- • Counterparty reliability or transaction success
- • Compliance with specific regulations or market conditions
- • That outputs are free from errors, biases, or outdated information
Use AI responsibly and in accordance with your own expertise, due diligence, and legal obligations.
Fees, Billing, and Payment
Subscriptions are billed in advance (monthly/annually) and automatically renew unless cancelled. All fees are non-refundable except as required by law. Prices exclude taxes (GST, VAT, etc.), which you must pay. We may change pricing with 30 days' notice. Failed payments may result in account suspension. Cancel anytime via account settings—termination takes effect at the end of the current billing period.
Third-Party Integrations
Connecting email, CRM, calendar, or storage services requires your authorization. You grant us minimal necessary access to provide requested features. Third-party services are governed by their own terms—we are not responsible for their availability, security, or compliance. Disconnect integrations anytime; cached data will be removed per our retention policy (typically within 90 days).
Intellectual Property
All Services, including software, AI models, algorithms, trademarks, and documentation, are owned by Tradyon and protected by intellectual property laws. These Terms grant you a limited license to use the Services—no ownership rights are transferred. You may not copy, modify, reverse-engineer, or create derivative works. Feedback you provide becomes our property without compensation.
Warranties, Liability, and Indemnification
Disclaimer:
Services are provided "AS IS" without warranties of any kind. We do not warrant accuracy, reliability, uninterrupted access, or fitness for specific purposes.
Limitation of Liability:
Our total liability is limited to the greater of (a) fees paid in the prior 12 months or (b) INR 50,000 / USD $600. We are not liable for indirect, consequential, or punitive damages, including trading losses, business interruption, or data loss.
Your Indemnification:
You indemnify us against claims arising from your use of Services, violations of these Terms, trading activities, regulatory violations, or infringement of third-party rights.
Term, Termination, and General Provisions
Termination:
Either party may terminate with notice. We may suspend/terminate immediately for breach, non-payment, illegal activity, or security risks. Upon termination, access ceases immediately; you have 30 days to export data before permanent deletion.
Governing Law:
These Terms are governed by the laws of India. Disputes will be resolved through arbitration in Bengaluru under the Indian Arbitration and Conciliation Act, 1996. International users consent to Indian jurisdiction.
Changes:
We may update these Terms with 30 days' notice. Continued use constitutes acceptance.
Entire Agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement and supersede prior agreements.
