Tradyon Terms of Use

1. Introduction and Scope


Tradyon is an AI-driven Software-as-a-Service (SaaS) platform providing global commodities trading workflows, market analytics, and deal origination tools. The platform operates through Tradyon Limited, collectively referred to as "Tradyon," "we," "us," "our," or the "Company."

The Tradyon Platform (the "Service" or "Platform") includes web and mobile applications providing:

  • Commodity-first workspace for export-import workflows
  • AI-assisted trade flow analysis, buyer/supplier identification, and CRM functionality
  • Market intelligence, commodity price analytics, and benchmarking
  • Predictive trading analytics powered by machine learning models
  • Real-time market scanning and opportunity detection
  • Artificial intelligence-driven insights and recommendations (collectively "AI Services")

These Terms of Use ("Terms") constitute a binding legal agreement between you ("User," "Customer," "you," or "your") and Tradyon. By accessing, registering for, or using the Platform in any manner (including through web browsers or mobile applications), you expressly accept and agree to be bound by these Terms. If you do not agree to all provisions herein, you must immediately cease using the Platform and discontinue all access.

Tradyon reserves the right to modify these Terms at any time. Material modifications will be communicated via email to the address associated with your account or through prominent notice on the Platform at least 30 days prior to becoming effective. Continued use of the Platform following such notice constitutes acceptance of modified Terms. If you object to any modification, your sole remedy is to discontinue use of the Service.

These Terms apply to all uses of the Tradyon Platform regardless of device, access method, or user type (individual traders, enterprise customers, API consumers, etc.). Additional terms may apply to specific services or premium features, which shall be read in conjunction with these Terms.

2. User Accounts and Registration


You represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction)
  • You have the legal capacity to enter into binding agreements
  • You are not prohibited from using the Service under applicable laws, trade sanctions regimes, or embargoes
  • All information you provide during registration is accurate, complete, and current
  • You will not use the Platform for illegal activities, including but not limited to sanctions evasion, money laundering, terrorist financing, or fraud

Tradyon reserves the right to verify your identity and legal status. Any account created by ineligible individuals will be terminated immediately, and any fees paid will not be refunded.

2.1 Registration Process

To access the Platform features, you must register by providing:

  • Full name and professional information
  • Valid business email address
  • Company name and jurisdiction of incorporation
  • Job title and role
  • Phone number
  • Account credentials (username and password)

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must immediately notify Tradyon of any unauthorized access or security breach.

2.2 Enterprise Accounts

For enterprise customers, an authorized administrator may add additional users ("Enterprise Users") to a single account. The account administrator is responsible for:

  • Ensuring all Enterprise Users comply with these Terms
  • Communicating all terms and conditions to authorized users
  • Managing user access and permissions
  • Monitoring usage to detect unauthorized or excessive access

2.3 Account Termination

Tradyon may immediately suspend or terminate your account if:

  • You breach any material provision of these Terms
  • We reasonably believe you are using the Platform illegally or for prohibited purposes
  • You fail to pay applicable fees
  • You engage in abusive, threatening, or harassing conduct toward Tradyon staff or other users
  • Your account is dormant for 3 consecutive months without notice

You may request account termination by contacting us with written confirmation, or you can request termination of your account through your user dashboard on the Platform. Upon termination, your access to the Platform will be revoked, and we will process any data deletion requests in accordance with Section 8 (Data Retention and User Rights).

3. License Grant and Usage Restrictions


Subject to your full compliance with these Terms and applicable laws, Tradyon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes related to commodities trading, import-export workflows, and market analysis.

3.1 You may:

  • Access the Platform through authorized devices and methods
  • Query, filter, and analyze aggregated commodity market data, import-export statistics, and non-personal business data
  • Generate analytics, reports, and benchmarks for internal decision-making
  • Save searches, set alerts, and configure user preferences
  • Interact with Tradyon's AI Services to interpret queries and surface opportunities
  • Use the Platform in English or such other languages as may be supported

3.2 You agree not to:

  • Data Scraping and Automated Access: Use bots, scrapers, spiders, crawlers, automated scripts, or similar technologies to extract, download, or replicate any data from the Platform without express written permission. Rate-limiting and IP-based blocking of unauthorized scraping will be enforced.
  • Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or discover the source code, algorithms, or proprietary methodologies underlying the Platform, including AI models or analytics engines.
  • Unauthorized Access: Attempt to gain unauthorized access to restricted areas, other users' accounts, or non-public data through hacking, credential stuffing, session hijacking, or social engineering.
  • Denial of Service: Launch denial of service attacks, distribute malware, or attempt to corrupt, disable, or overload the Platform's infrastructure.
  • Harmful Content: Transmit viruses, trojans, malware, ransomware, or code designed to harm or disrupt systems.
  • Impersonation: Pretend to be another person or entity, including Tradyon staff, or misrepresent your affiliation or authority.
  • Illegal Activity: Use the Platform to facilitate sanctions evasion, money laundering, terrorist financing, fraud, theft, illegal gambling, weapons trafficking, or other crimes.
  • Third-Party Rights Infringement: Upload, transmit, or share content that infringes copyrights, trademarks, patents, trade secrets, or other intellectual property of third parties without authorization.
  • Harassment and Abuse: Engage in threatening, abusive, defamatory, or harassing conduct directed at Tradyon staff, other users, or third parties.
  • Competitive Intelligence: Use the Platform to gather competitive intelligence about Tradyon's technology, pricing, operations, or business model with intent to replicate or compete directly.
  • Resale and Redistribution: Resell, redistribute, sublicense, or provide access to the Platform to unauthorized third parties. The Platform is for your use only and may not be offered as a service to others.
  • Modification and Derivative Works: Modify, create derivative works from, or adapt the Platform, including removing proprietary notices or modifying terms of access.

3.3 Compliance with Applicable Laws

You shall comply with all applicable laws, regulations, and industry standards in your jurisdiction and the jurisdictions where your counterparties operate, including:

  • Export control regulations
  • Sanctions regimes
  • Anti-money laundering (AML) and know-your-customer (KYC) requirements
  • Foreign exchange controls and capital controls
  • Trade finance and customs regulations
  • Consumer protection and data protection laws
  • Intellectual property laws

Tradyon is not responsible for your non-compliance with applicable laws. You bear sole responsibility for legal due diligence on all trading counterparties and transactions.

4. Intellectual Property Rights


4.1 Tradyon Ownership

The Platform, including all content, software, algorithms, databases, trade secrets, know-how, AI models, analytics methodologies, user interface design, and documentation (collectively "Tradyon IP") are owned exclusively by Tradyon or its licensors. Tradyon IP is protected by copyright, trademark, patent, and trade secret laws in the UAE, India, and other jurisdictions in which it operates. Your license to use the Platform does not grant you any ownership or intellectual property rights in Tradyon IP.

4.2 Third-Party Data and Services

The Platform incorporates third-party data and services, including:

  • Commodity market data from licensed data providers
  • Port and customs data from government sources
  • Public web data aggregated through lawful scraping
  • Pre-trained AI models and foundational language models

These third-party components are governed by respective license agreements. You acknowledge that use of such data is subject to both (i) the underlying provider's terms and (ii) these Terms.

4.3 User-Generated Content

You retain ownership of any content you upload, create, or input into the Platform ("User Content"), such as queries, saved searches, alert configurations, notes, and communications. However, you grant Tradyon a worldwide, royalty-free, non-exclusive license to:

  • Store, process, and display User Content for platform operation
  • Use User Content for analytics, system improvement, and error detection
  • Anonymize and aggregate User Content into statistical insights and benchmarks
  • Delete User Content upon account termination or expiration

You may not upload User Content that infringes third-party intellectual property rights or violates applicable laws.

4.4 Restrictions

You may not:

  • Copy, download, or replicate Tradyon IP for any purpose other than authorized Platform use
  • Create derivative works, including modified versions of the Platform, AI models, or analytics methodologies
  • Remove, obscure, or alter any proprietary notices, labels, or disclaimers
  • Use Tradyon trademarks, logos, or brand identifiers without express written permission
  • Represent yourself as the creator or owner of Tradyon IP

5. Fees, Payment, and Billing


5.1 Fee Structure

Tradyon offers the Service on a subscription basis. Fees depend on:

  • Subscription tier as mentioned in the Platform
  • Number of users and seats
  • Additional modules or services

Pricing is available on the Platform page relating to pricing of its respective subscription tier, and is subject to change with 30 days' notice for existing customers. Subscribers who have taken the monthly and/or annual plan shall be subject to this price increase post completion of subscription period, and the revised pricing shall be applicable from the next billing cycle.

5.2 Payment Terms

  • For monthly subscriptions: Fees are billed at the beginning of each calendar month, in advance
  • For annual subscriptions: Fees are billed once per year at the commencement of the term
  • All fees are exclusive of applicable value added tax (VAT) or equivalent taxes in your jurisdiction. You are responsible for paying all applicable taxes

5.3 Accepted Payment Methods

  • Credit and debit cards (Visa, Mastercard, American Express, etc.)
  • Bank transfers and wire payments
  • Regional payment methods including payments from distributors and resellers, where available

The Platform will process payments in the currency selected during checkout. For UAE-based accounts, default currency is AED.

5.4 Failed Payments

  • You will receive a notification to update payment information within thirty (30) business days
  • If not updated, your account will be suspended, and access will be revoked

Suspension due to non-payment does not relieve you of your obligation to pay accrued fees.

5.5 Refunds

Subscriptions are generally non-refundable. However:

  • You may request cancellation at any time before the expiry of your subscription term through your user dashboard in the Platform, and no further charges will apply
  • Refunds due to Tradyon error or unauthorized charges will be processed within 7 business days of approval

5.6 Fee Changes

Tradyon may increase subscription fees with thirty (30) days' written notice to the email address associated with your account or by displaying the said revision on the Platform in accordance with clause 5.1 above. Continued use following the notice constitutes acceptance of increased fees. If you do not accept the increase, you may terminate your subscription without penalty (but without refund of prepaid amounts).

6. Warranties and Disclaimers


6.1 Limited Warranties

Tradyon warrants that the Platform will:

  • Be available 99.5% of the time (measured monthly), excluding scheduled maintenance
  • Function materially in accordance with the documentation provided
  • Be free from malware, viruses, and intentionally harmful code

These warranties are conditioned on your (a) using the Platform in accordance with these Terms and documentation, (b) using compatible devices and browsers, and (c) maintaining appropriate internet connectivity.

6.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6.1, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Accuracy and Completeness: Tradyon makes no warranty that data, analytics, market insights, or AI-generated recommendations are accurate, complete, timely, or error-free. Third-party data is provided without verification or endorsement.
  • Fitness for Particular Purpose: The Platform is not warranted to be suitable for your specific business needs, trading strategies, risk tolerance, or regulatory requirements.
  • Non-Infringement: Tradyon does not warrant that the Platform does not infringe third-party intellectual property rights. Your use of third-party data is at your own risk.
  • Uninterrupted Service: The Platform may experience downtime, errors, bugs, latency, or interruptions due to maintenance, updates, security patches, infrastructure issues, or acts beyond Tradyon's control.
  • Third-Party Services: Tradyon does not warrant third-party data providers, payment processors, cloud infrastructure providers, or other integrated services.

6.3 AI Services Disclaimer

The Tradyon AI Services, including TradeGenie, market opportunity detection, price prediction, and AI-assisted analytics, are experimental and probabilistic tools:

  • No Guarantee of Accuracy: AI recommendations are generated based on historical data, statistical models, and heuristics. They may contain errors, biases, or inaccuracies and should not be relied upon as sole basis for trading decisions.
  • Not Professional Advice: AI insights do not constitute financial advice, investment recommendations, or trading guidance. Tradyon is not a licensed financial advisor or investment firm.
  • Market Risk: Commodity markets are inherently volatile and unpredictable. Past performance is not indicative of future results. All trading carries risk, including risk of total loss.
  • Regulatory Gaps: Market data may be incomplete, lagged, or out of sync with real-time market conditions. Regulatory changes, geopolitical events, or black swan events may invalidate AI models.
  • No Liability for Losses: Tradyon shall not be liable for any trading losses, missed opportunities, incorrect recommendations, or losses arising from reliance on AI Services.

6.4 Third-Party Data Disclaimer

Third-party data (including commodity prices, trade statistics, export-import flows, customs data, etc.) is:

  • Provided "as is" without Tradyon verification or endorsement
  • Subject to the original provider's terms of use and licensing restrictions
  • May contain errors, omissions, delays, or inaccuracies
  • Not warranted to be complete, accurate, or suitable for any particular use

You are responsible for independent verification of all third-party data before relying on it for trading decisions.

6.5 No Professional Advice

The Platform is a data analytics and workflow tool. Tradyon does not provide legal, tax, financial, regulatory, or professional advice. You should consult qualified professionals (lawyers, accountants, financial advisors, customs brokers) for advice on:

  • Trade compliance and export control
  • Tariffs, duties, and customs procedure
  • Currency exchange compliance
  • UAE data protection and foreign investment regulations
  • Tax treatment of international trades
  • KYC/AML requirements and sanctions screening

Your use of the Platform does not create an advisory or fiduciary relationship with Tradyon.

7. Limitation of Liability


7.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADYON'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY) SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO TRADYON IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

This cap applies to each and every claim, regardless of whether Tradyon has been advised of the possibility of such damages.

7.2 Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRADYON BE LIABLE FOR:

  • Lost profits, revenue, or business opportunity
  • Lost or corrupted data
  • Loss of goodwill or reputation
  • Indirect, incidental, special, or consequential damages
  • Trading losses, missed opportunities, or market volatility
  • Any damages arising from reliance on AI recommendations or third-party data

This exclusion applies even if Tradyon has been advised of the possibility of such damages or if such damages are foreseeable.

7.3 Data Protection Liability

Tradyon's liability for unauthorized access to or disclosure of your personal data is capped as in Section 7.1, subject to local law maxima. In jurisdictions (such as the EU under GDPR) where damage caps are prohibited or limited, the maximum liability shall be the highest amount permitted under applicable law.

7.4 Exceptions to Limitations

Sections 7.1 and 7.2 do not apply to:

  • Gross negligence or willful misconduct by Tradyon
  • Breaches of your fundamental rights under applicable data protection laws
  • Liability for death or personal injury (to the extent not excludable by law)
  • Indemnification obligations under Section 9

8. Data Retention and User Rights


8.1 Data Retention Periods

Tradyon retains your data according to the following schedules:

Except as noted above, all personal data is deleted or anonymized upon request or at the end of the retention period.

Depending on your jurisdiction, you may have the following rights:

8.2 Under GDPR (EU/UK) and similar regimes

  • Right of Access: Request a copy of personal data we hold about you
  • Right of Rectification: Request correction of inaccurate or incomplete data
  • Right to Erasure: Request deletion of personal data (subject to legal exceptions)
  • Right to Data Portability: Request your data in a structured, machine-readable format
  • Right to Restrict Processing: Request that we limit processing to storage only
  • Right to Object: Object to processing for direct marketing or on grounds of legitimate interest
  • Right to Withdraw Consent: Revoke previously given consent (does not affect past processing)

8.3 Under CCPA/CPRA (California)

  • Right to Know: Request what personal information we collect, use, and share
  • Right to Delete: Request deletion of personal information (subject to exceptions)
  • Right to Correct: Request correction of inaccurate personal information
  • Right to Opt-Out: Opt out of the "sale" or "sharing" of personal information
  • Right to Limit Use: Limit our use of sensitive personal information

8.4 Under India's DPDP Act

  • Right to Access: Obtain confirmation of whether personal data is processed
  • Right to Rectification: Correct or supplement inaccurate personal data
  • Right to Erasure: Request deletion of personal data (subject to exceptions)
  • Right to Data Portability: Request personal data in usable format

8.5 Under UAE's PDPL

  • Right of Access: Request a copy of personal data held by Tradyon
  • Right of Correction: Request correction of inaccurate personal data
  • Right to Deletion: Request deletion of personal data (except where legally required to retain)
  • Right to Withdraw Consent: Revoke consent for processing (does not affect past processing)
  • Right to Lodge a Complaint: File a complaint with the UAE Data Office

8.6 How to Exercise Rights

To exercise any of the above rights, submit a written request to sravanth@tradyon.ai with:

  • Your full name and email address
  • Your account ID (if applicable)
  • A clear description of the right you are exercising
  • Supporting documentation if required (e.g., proof of identity)

We will respond within:

  • EU/UK (GDPR): 30 days (extendable by 60 days for complex requests)
  • California (CCPA/CPRA): 45 days
  • India (DPDP Act): 30 days
  • UAE (PDPL): 30 days
  • Requests that are manifestly unfounded or vexatious may be refused or charged for in accordance with applicable law

8.7 Account Termination Effects

Upon account termination, we will:

  • Delete or anonymize all personal data within 90 days, except:
  • Data required to be retained under law (tax records, dispute resolution, regulatory compliance)
  • Aggregated or anonymized data that cannot identify you

9. Indemnification


9.1 Your Indemnification of Tradyon

You agree to indemnify, defend, and hold harmless Tradyon, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Platform, including any data you input or transmit
  • Your breach of these Terms, including any representations or warranties
  • Your violation of applicable laws or regulations, including export controls, sanctions, or trade restrictions
  • Third-party claims that your use of the Platform or User Content infringes intellectual property rights, violates privacy rights, or causes harm
  • Your trading activities, including losses, disputes, or regulatory issues arising from transactions you conduct using the Platform
  • Non-compliance with KYC/AML/sanctions obligations
  • Your improper use of third-party data (e.g., violating third-party data provider terms)

Tradyon will provide you with prompt notice of any such claim, reasonable cooperation in defense, and the right to control the defense, provided that any settlement does not admit liability or responsibility on Tradyon's behalf without our prior written consent.

9.2 Tradyon's Indemnification of You

Tradyon agrees to indemnify you against third-party claims that the Platform, as provided by Tradyon and used in accordance with these Terms, infringes a copyright or trademark. This indemnity does not apply to infringement claims arising from:

  • Modifications to the Platform made by you or third parties
  • Combination of the Platform with non-Tradyon products or services
  • Your use of the Platform in violation of these Terms
  • Your use of third-party data in breach of underlying provider terms

If the Platform becomes subject to an infringement claim, Tradyon may, at its option and expense: (a) obtain the right for you to continue use, (b) modify the Platform to make it non-infringing, or (c) if neither is commercially reasonable, suspend the infringing feature (no refund).

10. Dispute Resolution and Governing Law


10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (specifically the Emirate of Abu Dhabi), without regard to conflict of law principles. This choice is made because Tradyon's principal place of business and Platform operations are located in the UAE. For data protection matters, the applicable laws are dependent on your jurisdiction of use. For instance:

  • If you are based in the UAE: UAE Personal Data Protection Law (PDPL) No. 45/2021 (primary jurisdiction)
  • If you are based in the applicable regions of the European Union: GDPR (EU Regulation 2016/679) and UK Data Protection Act 2018 (for EU/UK users)
  • India's Digital Personal Data Protection Act (DPDP Act), 2023 (for processing in India)
  • California's CCPA/CPRA (for California residents)
  • Other applicable local laws in your jurisdiction

10.2 Good-Faith Negotiation

Before initiating arbitration or litigation, both parties agree to attempt to resolve disputes through good-faith negotiation. Either party may initiate negotiations by sending written notice describing the dispute to sravanth@tradyon.ai or the contact information provided by Tradyon. The parties will meet (in person or virtually) within 30 days to attempt resolution.

10.3 Binding Arbitration

If negotiation fails within thirty (30) days, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration, not by lawsuit or court proceedings, except for:

  • Injunctive or equitable relief (which may be sought in court)
  • Claims for infringement of intellectual property rights
  • Regulatory matters (which shall be governed by applicable regulatory authorities)

10.4 Arbitration Terms

  • Seat of Arbitration: Dubai, United Arab Emirates
  • Rules: The International Chamber of Commerce (ICC) Arbitration Rules, or if the ICC is unavailable, UNCITRAL Arbitration Rules
  • Language: English
  • Number of Arbitrators: One arbitrator (unless the claim exceeds USD 1 million, in which case three arbitrators)
  • Costs: Each party bears its own costs unless the arbitrator awards costs to the prevailing party

10.5 Class Action Waiver

YOU AGREE THAT ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST TRADYON. The arbitrator cannot consolidate claims or preside over any class action.

10.6 Injunctive Relief

Notwithstanding the arbitration clause, either party may seek injunctive or equitable relief (including restraining orders and preliminary injunctions) in any court of competent jurisdiction to prevent irreparable harm, breach of intellectual property rights, or breach of confidentiality, particularly where unauthorized access or data scraping is occurring.

10.7 Regulatory Reporting

Nothing in these Terms prevents you from reporting concerns to, or cooperating with, regulatory authorities in your jurisdiction. However, you acknowledge that such reporting may be subject to regulatory confidentiality obligations.

11. Suspension and Termination


11.1 Immediate Suspension

Tradyon may immediately suspend your account without liability if:

  • We reasonably believe you are violating these Terms, laws, or regulations
  • We detect unauthorized access or suspicious activity on your account
  • You engage in harassment, threats, or abuse
  • Your account is linked to sanctions or criminal activity
  • We are required to suspend by law or regulatory directive

Suspension is temporary and does not preclude further investigation or permanent termination.

11.2 Termination for Cause

Tradyon may terminate your account permanently if:

  • You materially breach these Terms and fail to cure within seven (7) days of written notice
  • Your conduct violates laws, regulations, or third-party rights
  • You consistently violate the Acceptable Use Policy
  • You engage in fraud, misrepresentation, or deception

Termination will result in immediate loss of access, forfeiture of any prepaid fees, and deletion of account data per these Terms.

11.3 Termination for Convenience

You may terminate your subscription at any time by providing 30 days' written notice to sravanth@tradyon.ai. No refund of prepaid fees will be provided, but no further charges will accrue. We may retain backup copies of your data for thirty (30) days. Tradyon may terminate for convenience with seven (7) days' written notice to the email on file. You will receive a pro-rata refund of any prepaid fees for the remainder of the subscription term.

11.4 Effects of Termination

Upon termination:

  • Your account access is revoked immediately
  • All licenses to use the Platform are terminated
  • User Content is deleted as per these Terms
  • Accrued fees until such termination date remain due and payable
  • Indemnification and limitation of liability provisions survive
  • Data processing terminates per the Privacy Policy

12. Confidentiality


12.1 Definition

"Confidential Information" means information disclosed by either party that is marked as confidential or would reasonably be understood to be confidential, including trade secrets, business plans, technical data, and user information.

12.2 Obligations

Each party will:

  • Keep Confidential Information confidential using reasonable security measures
  • Limit access to employees and contractors with a need to know
  • Not disclose Confidential Information without prior written consent (except as legally required)
  • Return or destroy Confidential Information upon request

12.3 Exclusions

The obligation does not apply to information that:

  • Is independently known prior to disclosure
  • Is publicly available (not due to breach)
  • Is received from a third party without confidentiality restrictions
  • Is independently developed without using Confidential Information
  • Is required to be disclosed by law (with prior notice, if permitted)

13. Changes to the Service


Tradyon may modify, suspend, or discontinue any feature or the entire Platform with notice to you. If changes materially reduce functionality, we will provide 30 days' notice and allow cancellation without penalty. Changes including bug fixes, security patches, and feature additions do not require notice. Emergency security measures may be implemented immediately.

14. Export Control


You acknowledge that the Platform may be subject to U.S. export control laws. You agree not to:

  • Export or re-export the Platform to prohibited countries or persons
  • Use the Platform in violation of export controls or sanctions
  • Facilitate or assist in export violations

You are responsible for compliance with export controls in your jurisdiction.

15. Miscellaneous


15.1 Entire Agreement

These Terms, together with the Privacy Policy, any executed master agreement (if any), and incorporated documents, constitute the entire agreement between you and Tradyon regarding the Platform and supersede all prior negotiations, understandings, and agreements, whether written or oral.

15.2 Severability

If any provision is found invalid or unenforceable, that provision will be reformed to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any provision is effective unless in writing and signed by an authorized representative of Tradyon. Waiver of one breach does not waive subsequent breaches.

15.4 Assignment

You may not assign these Terms without Tradyon's written consent. Tradyon may assign to affiliates or in connection with a merger, acquisition, or asset sale, with notice to you.

15.5 Notices

Notices must be sent to:

  • For Tradyon: Email address or mailing address on file with your account

Notices are effective upon receipt.

15.6 Interpretation

Headings are for convenience and do not affect interpretation. "Including" means "including without limitation." References to "days" mean calendar days unless otherwise specified.

15.7 Survival

Sections that by their nature should survive termination (including Sections 4, 7, 9, 10, 12, and 15) survive termination or expiration of these Terms.

These Terms of Use constitute a comprehensive legal framework for Tradyon's operations across multiple jurisdictions. Regular review and updates are required to maintain compliance as regulations evolve.
